1. Introduction

Welcome to Ambify (“Platform”), operated by bytedepth, a company registered under the laws of India. These Terms and Conditions (“Terms”) govern your access to and use of Ambify’s services, including:

  • Marketplace Services: Facilitating sales between third-party sellers (“Sellers”) and buyers (“Buyers”).

  • Affiliate Services: Promoting products from external partners via affiliate links.

By accessing or using Ambify, you agree to comply with these Terms, the Privacy Policy, and all applicable Indian laws.

2. Eligibility

  • You must be at least 18 years old to use Ambify.

  • Businesses must be legally registered entities in India (if applicable).

3. User Accounts

  • Registration: Provide accurate information (e.g., name, Adhaar for Sellers).

  • Security: You are responsible for account activity. Notify Ambify immediately of unauthorized access.

  • Non-Transferable: Accounts are personal and cannot be shared/sold.

4. Services Offered

A. Marketplace for Sellers

  • Commission: Ambify charges 10% commission on each sale.

  • Listings: Sellers must provide accurate product details, including pricing, GST, and return policies.

  • Prohibited Items: Illegal goods, counterfeit products, or items violating Indian law are strictly banned.

B. Affiliate Products

  • Third-Party Links: Transactions via affiliate links are governed by the external partner’s terms. Ambify earns commissions but is not liable for these transactions.

5. Payments

  • Buyers: Payments processed via secure third-party gateways (e.g., Razorpay).

  • Sellers: Payouts issued within 3 days of order completion, minus Ambify’s 10% commission. GST and other taxes included.

6. Intellectual Property

  • Ambify’s Content: Logos, text, and software are owned by Ambify. Unauthorized use is prohibited.

  • User Content: Sellers retain ownership of product listings but grant Ambify a non-exclusive license to display content.

7. User Responsibilities

  • Compliance: Adhere to Indian laws, including the Consumer Protection Act, 2019, and IT Act, 2000.

  • Prohibited Conduct: Fraud, spamming, or uploading harmful code is strictly forbidden.

8. Termination

  • Ambify may suspend/terminate accounts for breaches of these Terms.

  • Sellers must fulfill pending orders post-termination.

9. Disclaimers

  • “As Is” Basis: Ambify does not guarantee uninterrupted or error-free services.

  • Third-Party Liability: Ambify is not liable for Seller-Buyer disputes or affiliate partner transactions.

10. Limitation of Liability

Ambify’s liability is capped at the commission earned in the preceding 3 months. Indirect damages (e.g., loss of profits) are excluded.

12. Dispute Resolution

  • Governing Law: These Terms are governed by Indian law.

  • Jurisdiction: Disputes will be resolved in courts in Kushingar, UP, India.

  • Mediation: Parties agree to attempt mediation before litigation.

13. Updates to Terms

Ambify may revise these Terms. Continued use after updates constitutes acceptance. Changes will be notified via email or Platform notice.
